Effective Date: [EFFECTIVE DATE]
Last Updated: [EFFECTIVE DATE]
Welcome to MMJJS. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and [LEGAL ENTITY NAME] ("we", "us", or "our"), governing your access to and use of the MMJJS web application and website located at https://mmjjs.com (the "Service").
Please read these Terms carefully before using the Service. By accessing, browsing, registering an account with, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
1. About the Service and Operator
1.1. Operator Details: The Service is owned and operated by:
- Entity Name: [LEGAL ENTITY NAME]
- Company Registration Number: [COMPANY NUMBER, IF APPLICABLE]
- Registered Office Address: [REGISTERED ADDRESS]
- Contact Email: [PRIVACY EMAIL]
1.2. Nature of the Service: MMJJS (also known as "Mercury") is a web-based, cloud-hosted financial awareness, planning, and balance sheet operating system designed for individuals and cooperative multi-member households. The Service provides tools to manually log personal assets, liabilities, income, and outgoings; perform guided monthly ledger reconciliations; calculate cash flow allocation waterfalls; establish collective communal micro-funds ("communal pots"); and author collaborative funding requests ("deal prospectuses") with bilateral debt-elimination pledges.
2. Eligibility and Consumer Status
2.1. Age Requirement: You must be at least 18 years old and legally capable of entering into a binding contract under the laws of England and Wales (or the laws of your home jurisdiction within the United Kingdom) to register an account and use the Service.
2.2. Jurisdiction: The Service is primarily designed for and directed to residents of the United Kingdom. Financial concepts, default tax wrappers (such as Individual Savings Accounts (ISAs), Lifetime ISAs (LISAs), and Self-Invested Personal Pensions (SIPPs)), and statutory annual subscription allowances within the Service reflect UK financial conventions and legislation.
2.3. Consumer Rights: If you are using the Service as an individual consumer, nothing in these Terms affects, limits, or excludes your statutory legal rights under UK consumer protection laws, including the Consumer Rights Act 2015.
3. Financial, Investment, Legal, and Tax Disclaimers
3.1. NO REGULATED FINANCIAL ADVICE
MMJJS is a self-directed planning, record-keeping, and arithmetic calculation tool only. We are not authorised or regulated by the Financial Conduct Authority ("FCA") and do not provide regulated financial services.
- No Financial Advice: The Service does not provide financial advice, investment advice, debt-counselling, debt-adjustment, tax advice, accounting advice, or legal advice.
- Informational & Mathematical Output: All calculations, waterfall allocations, cash runway estimates, loan amortisation schedules, debt-priority rankings, and net worth rollups generated by the Service are automated mathematical computations based entirely on the figures and parameters you choose to enter.
- Independent Responsibility: You are solely responsible for your own financial decisions, budgeting choices, investment transactions, and debt repayments. You should consult a qualified, independent financial adviser authorised by the FCA, an independent debt adviser, or an accountant if you require professional advice tailored to your personal circumstances.
3.2. NO DIRECT MONEY MOVEMENT, BANKING, OR ESCROW CUSTODY
MMJJS does not move, hold, transmit, custody, or manage real money.
- No Banking or Payment Services: We are not a bank, building society, credit union, payment institution, or Electronic Money Institution ("EMI"). We do not hold client deposits, issue electronic money, or execute payment transactions.
- External Fund Transfers: Any transfer of funds between your bank accounts, or between members of a household pursuant to a deal pledge or communal pot, must be executed independently by you through your own authorized banking or payment provider. MMJJS never has access to your banking rails or payment credentials.
- Ledger Escrow & Communal Pots: Features described within the application as "Household Escrow," "Pledges," or "Communal Pots" are internal digital record-keeping tools to track informal domestic agreements. They do not constitute statutory escrow accounts, legal trusts, or segregated client accounts. The designated "Treasurer" or recipient holds any funds solely according to private household arrangements outside the Service.
4. User Accounts and Authentication Security
4.1. Account Registration: To access the Service, you must create an account by providing a valid, accessible email address. You agree to provide accurate, current, and complete information and to keep your email address updated.
4.2. Passkey-First Authentication: Authentication on MMJJS prioritises WebAuthn / FIDO2 Passkeys (using device-bound biometric or hardware credentials such as Touch ID, Face ID, or device PINs). If you configure an optional fallback password, you must ensure that your password meets our security requirements and is kept confidential.
4.3. Account Responsibility: You are solely responsible for maintaining the confidentiality and physical security of your devices, authentication keys, and passwords. You accept full responsibility for all activities and transactions recorded under your account credentials.
4.4. Security Breaches: If you suspect or discover any unauthorised access to your account, theft of a device holding an active session, or any other security breach, you must notify us immediately at [PRIVACY EMAIL] and promptly revoke or re-register your passkeys.
5. Household Collaboration, Privacy, and Deal Agreements
5.1. Household Structure & Invitations: Users may create a "Household" or join an existing household via a unique invite code. The creator of a household is designated as the household owner. The owner may invite other users, remove members, or regenerate invite codes.
5.2. Item-Level Privacy and Blind Rollups:
- When you add a financial record (such as an account, debt, investment, or outgoing), you may toggle its privacy status (
is_private). - Visible Items (
is_private = false): The item's details, including institution name, nickname, and balance, are visible to all members of your household. - Private Items (
is_private = true): The item's individual identity, provider, and line-item balance are hidden from other household members. However, its numerical value is aggregated into household totals (the "Blind Rollup") so the household balance sheet remains mathematically accurate. - You acknowledge and accept that other members of your household can see aggregate totals that reflect your private assets or liabilities.
5.3. Nature of Deals, Pledges, and Communal Charters:
- The Service enables household members to author funding requests ("Deal Prospectus"), propose bilateral funding pledges, and establish communal savings pots governed by voting rules (
majorityorunanimous). - Social & Domestic Arrangements: All pledges, deals, and pot agreements created within MMJJS are domestic, informal, family-level social arrangements. MMJJS is not a party to any deal or pledge, does not guarantee that any household member will honor a pledge or transfer real money, and has no obligation to arbitrate, mediate, or enforce any financial dispute between household members.
5.4. Leaving a Household: Any member may leave a household at any time using the in-app "Leave Household" function. If you leave, your membership and private ledger connections are severed. If the owner leaves, ownership automatically passes to the next longest-standing member. If the last member leaves, the household entity is permanently deleted.
6. User Content and Intellectual Property Rights
6.1. User Content Ownership: You retain full ownership of all data, text, budget tables, loan models, comments, and other material you submit, enter, or author within the Service ("User Content"). We do not claim any intellectual property ownership over your personal financial data or prospectus documents.
6.2. Limited Licence to Operator: By submitting User Content to the Service, you grant us a worldwide, royalty-free, non-exclusive, revocable licence to host, store, copy, reproduce, transmit, format, and display your User Content solely to the extent necessary to provide, secure, operate, and maintain the Service for you and your household members in accordance with your privacy settings and these Terms.
6.3. Operator Intellectual Property: All software, algorithms, mathematical models, database schemas, user interface designs, visual layouts, icons, typography, graphics, design system tokens ("Mercury"), logos, and documentation related to the Service are the exclusive intellectual property of [LEGAL ENTITY NAME] or its licensors, protected by UK and international copyright, trade mark, and database laws. You may not copy, decompile, reverse engineer, disassemble, modify, or create derivative works of any part of the Service.
7. Acceptable Use and Prohibited Conduct
You agree to use the Service solely for lawful, personal, household financial tracking purposes. You expressly agree that you will not:
- Subvert Security Boundaries: Attempt to bypass, compromise, disable, probe, or evade our PostgreSQL Row-Level Security (RLS) policies, definer functions, blind rollup security protections, or authentication mechanisms.
- Reverse Engineer Rollups: Attempt to perform mathematical subtraction attacks or query manipulation to deduce or expose the private financial records of other household members.
- Malicious & Automated Access: Use spiders, robots, crawlers, scrapers, automated scripts, or API extraction tools to harvest data or generate excessive load on our systems.
- Harmful Content: Author, post, or transmit any deal prospectus, comment, or text that is unlawful, defamatory, libelous, harassing, abusive, threatening, fraudulent, obscene, or infringing upon the intellectual property or privacy rights of any person.
- Unlawful Financial Activity: Use the Service in connection with money laundering, terrorist financing, fraud, evasion of sanctions, or any illegal commercial enterprise.
- Impersonation: Impersonate any person or entity, misrepresent your identity or affiliation, or create fraudulent household invite links.
We reserve the right to immediately suspend or terminate your access to the Service if you violate any provision of this Section 7.
8. Third-Party Services and Market Data
8.1. Third-Party Infrastructure: The Service relies on trusted third-party infrastructure providers to operate, including Supabase Inc. (database and authentication), Vercel Inc. (web application hosting and serverless execution), and Resend Inc. (transactional email delivery). We are not liable for service interruptions caused by outages or technical failures of these external platforms, provided we have exercised reasonable care in selecting and managing them.
8.2. Market Valuation Feeds:
- The Service may retrieve indicative market quotes and closing prices for investment instruments via third-party providers (such as Twelve Data or Alpha Vantage).
- Indicative Quotes Only: All market pricing data is provided strictly for indicative portfolio estimation and educational tracking. Prices may be delayed, cached, or incomplete.
- No Reliance for Trading: Market quotes must not be relied upon for executing real-time financial trading, commercial transactions, or contractual settlements.
9. Fees and Future Commercial Terms
9.1. Current Free Access: The Service is currently provided to you free of charge. You are not required to provide credit card details or enter into a paid subscription to access current platform features.
9.2. Future Changes to Pricing: We reserve the right to introduce optional premium features, subscription tiers, or usage fees in the future. Any introduction of fees will be communicated to you at least thirty (30) days in advance, and you will never be charged without your express, affirmative consent. If you do not wish to accept proposed fees, you may terminate your account prior to the effective date.
10. Availability, Modifications, and Service Evolution
10.1. Continuous Evolution: We are continuously developing and improving MMJJS. We reserve the right to update, modify, enhance, or temporarily suspend features, layouts, or calculations to improve performance, enhance security, or comply with legal requirements.
10.2. Service Availability: While we endeavor to maintain high availability and reliability, the Service is provided over the Internet on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, entirely error-free, or free from scheduled maintenance downtime. Where feasible, we will endeavour to carry out maintenance during periods of low usage.
11. Account Closure, Suspension, and Termination
11.1. Termination by You: You may stop using the Service at any time. You may request the complete closure of your account and the erasure of your personal data by sending an email from your registered address to [PRIVACY EMAIL]. Your account and associated ledger records will be deleted in accordance with our Privacy Policy.
11.2. Suspension or Termination by Us: We may suspend or terminate your account or access to the Service at any time with or without prior notice if:
- You have materially or persistently breached any provision of these Terms;
- We are required to do so by applicable law, court order, or regulatory authority;
- We identify a critical security vulnerability, fraudulent activity, or threat to the integrity of the Service associated with your account; or
- We decide to discontinue offering the Service entirely (in which case we will provide reasonable advance notice where reasonably practicable).
11.3. Consequences of Termination: Upon termination of your account, your right to access the Service immediately ceases, and all data will be deleted in accordance with our cascading database erasure architecture, subject to our legal obligations.
12. Limitation of Liability and Legal Disclaimers
PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU UNDER APPLICABLE LAW.
12.1. Non-Excludable Liabilities: Nothing in these Terms shall exclude or limit our liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any breach of statutory rights that cannot be lawfully excluded or limited under the Consumer Rights Act 2015; or
- Any other liability that cannot be lawfully excluded or limited under English law.
12.2. Exclusion of Financial and Consequential Losses: Subject to Section 12.1, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for:
- Any loss of profit, loss of revenue, loss of business, loss of savings, or loss of investment opportunity;
- Any financial loss resulting from your reliance on arithmetic models, waterfall calculations, loan amortisations, or balance figures generated by the Service;
- Any losses, damages, or disputes arising from informal deal agreements, pledges, or communal pot contributions between you and other household members;
- Any loss or corruption of data, where you have failed to maintain independent copies of critical financial records; or
- Any indirect, special, or consequential loss or damage.
12.3. Financial Cap on Liability: Subject to Sections 12.1 and 12.2, our total aggregate liability to you in respect of all claims, damages, losses, or causes of action arising out of or in connection with these Terms or your use of the Service shall be limited to the greater of:
- The total amount paid by you to us for access to the Service in the twelve (12) months preceding the event giving rise to the claim (which is currently £0.00); or
- The sum of fifty pounds sterling (£50.00).
13. User Responsibility
You agree to be responsible for any losses, damages, costs, and expenses (including reasonable legal fees) incurred by us arising directly out of your material breach of these Terms, your violation of any applicable law, or your intentional interference with the security, RLS boundaries, or operation of the Service.
14. Changes to these Terms
14.1. Right to Amend: We may amend these Terms from time to time to reflect changes in our Service, technical architecture, business operations, or legal and regulatory obligations.
14.2. Notice of Material Changes: If we make material changes that adversely affect your legal rights or use of the Service, we will provide you with at least thirty (30) days' advance notice via email to your registered address or via a prominent notification displayed within the Service.
14.3. Acceptance of Revised Terms: If you continue to use the Service after the revised Terms take effect, your continued use constitutes acceptance of the amended Terms. If you do not agree to the revised Terms, you must stop using the Service and request account deletion before the changes become effective.
15. General Legal Provisions
15.1. Governing Law: These Terms, their subject matter, and their formation (and any non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
15.2. Jurisdiction: If you are a consumer resident in the United Kingdom, you may bring legal proceedings in respect of the Service in the courts of England and Wales, or:
- In the Scottish courts if you live in Scotland; or
- In the Northern Irish courts if you live in Northern Ireland.
15.3. Severability: If any provision or part-provision of these Terms is found to be invalid, illegal, or unenforceable by any court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted, without affecting the validity and enforceability of the remaining provisions.
15.4. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and [LEGAL ENTITY NAME] regarding your use of the Service, superseding any prior agreements, representations, or understandings.
15.5. No Waiver: No failure or delay by us in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or any other right.
15.6. Third-Party Rights: A person who is not a party to these Terms shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.
15.7. Assignment: You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a corporate reorganization, merger, or sale of assets, provided that your consumer rights are not prejudiced.
